1. Agreement to Terms

By accessing or using the Shop Lightbeam platform, website, or mobile application (collectively, the "Platform") operated by Lightbeam Courier Ltd. ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Lightbeam Courier Ltd. regarding your use of the Platform.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE PLATFORM.

2. Description of Service & Marketplace Nature

Shop Lightbeam is a multi-vendor marketplace and delivery platform that connects customers ("Users") with independent third-party vendors, retailers, and restaurants ("Vendors") and independent delivery contractors ("Couriers").

Important Disclaimers:

• We Are Not the Seller: Unless explicitly stated otherwise, Lightbeam Courier Ltd. is not the seller of the goods offered on the Platform. We act solely as a technology intermediary to facilitate transactions.
• We Are Not the Courier: Delivery services may be performed by independent contractors or third-party logistics providers. We are not a transportation carrier.
• Vendor Responsibility: Vendors are solely responsible for the quality, safety, legality, and accuracy of their products and listings.

3. User Accounts & Security

You may need to register for an account to use certain features. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

• Security: You are responsible for safeguarding your password. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions.
• Eligibility: You must be at least 18 years of age (or the age of majority in your jurisdiction) to form a binding contract.
• Account Termination: We reserve the right to suspend or terminate your account at any time, for any reason, including violation of these Terms, without notice or liability.

4. Ordering, Pricing & Payments

• Order Acceptance: All orders are subject to acceptance by the Vendor. A Vendor may cancel an order at any time due to unavailability, pricing errors, or other reasons.
• Pricing: Prices for items are set by the Vendor and may differ from in-store prices. The Platform may charge additional fees, including but not limited to delivery fees, service fees, small order fees, and surge pricing fees.
• Payments: You authorize us (and our third-party payment processors, such as Stripe) to charge your designated payment method for the total amount of your order, including any applicable taxes and fees.
• Refunds: Refunds are processed at our sole discretion and in accordance with our Refund Policy. Generally, once an order has been prepared by the Vendor or picked up by a Courier, it cannot be cancelled or refunded.

5. Restricted Items (Alcohol, Tobacco, Vape)

5.1 Delivery Requirements

• Mandatory ID Check: Valid, government-issued photo ID matching the name on the order MUST be presented to the Courier upon delivery.
• In-Person Handoff: Restricted items strictly cannot be left at the door ("contactless"). They must be received by an adult.
• Right to Refuse: Couriers and Vendors reserve the absolute right to refuse delivery if the recipient appears underage, intoxicated, or fails to provide valid ID.
• No Refunds on Refusal: If delivery is refused due to age verification failure or intoxication, you will be charged a restocking fee up to the full value of the order, and the items will be returned.
• Third-Party Liability: You agree that Lightbeam Courier Ltd. is not liable for any damages or legal consequences arising from the consumption or use of restricted items purchased through the Platform.

6. "Book Delivery" (Personal Courier) Terms

When using our "Book Delivery" service to transport personal items, you act as the shipper and agree to the following:

• Prohibited Items: You strictly warrant that you will NOT request transport for: illegal goods, weapons, explosives, hazardous materials, live animals, stolen goods, or cash/jewelry exceeding $100 in value.
• Right to Inspect: We reserve the right to inspect any package if we suspect it contains prohibited items or for safety/security reasons.
• Limited Liability: OUR LIABILITY FOR LOSS OR DAMAGE TO PERSONAL ITEMS IS STRICTLY LIMITED TO $100 CAD PER DELIVERY, UNLESS A HIGHER VALUE IS DECLARED AND ADDITIONAL INSURANCE IS PURCHASED IN WRITING PRIOR TO DISPATCH. WE ARE NOT LIABLE FOR CONSEQUENTIAL DAMAGES (e.g., lost profits, sentimental value).
• Indemnification: You agree to indemnify and hold us harmless from any claims, damages, or legal actions arising from your shipment of prohibited, dangerous, or illegal items.

7. Intellectual Property Rights

The Platform and its original content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Lightbeam Courier Ltd., its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use only.

8. User Content & Conduct

• User Content: By posting reviews, comments, or other content ("User Content"), you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, and display such User Content in connection with operating and promoting the Platform.
• Prohibited Conduct: You agree not to use the Platform to harass, abuse, or harm another person; to impersonate any person or entity; to interfere with the proper working of the Platform; or to engage in any fraudulent or illegal activity.

9. Disclaimer of Warranties

YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LIGHTBEAM COURIER LTD. EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (I) THE PLATFORM WILL MEET YOUR REQUIREMENTS; (II) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (III) THE QUALITY OF ANY PRODUCTS, SERVICES, OR INFORMATION PURCHASED BY YOU WILL MEET YOUR EXPECTATIONS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LIGHTBEAM COURIER LTD., ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (III) ANY CONTENT OBTAINED FROM THE PLATFORM; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

11. Indemnification

You agree to defend, indemnify, and hold harmless Lightbeam Courier Ltd. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Platform, or b) a breach of these Terms.

12. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of this Agreement shall be finally settled by arbitration in Toronto, Ontario, using the English language in accordance with the Arbitration Rules and Procedures of the ADR Institute of Canada, then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms.
